I. Purpose
The purpose of the Memorandum of Understanding (MOU) is to document the relationship
between the American Red Cross (the “Red Cross”) and City of Menifee, a municipal corporation
(“City of Menifee”). This MOU provides a broad framework for cooperation between the Red
Cross and the City of Menifee to provide cooperation and support between the Red Cross and the
City of Menifee in assisting individuals and families who have been impacted by disaster and
providing other humanitarian services.
II. Independence of Operations
Each party to this MOU will maintain its own identity, establish its own policies, and finance its
own activities.
III. Organization Descriptions
The American Red Cross, founded in 1881, is dedicated to helping people in need throughout the
United States and, in association with other Red Cross networks, throughout the world. Through
its mission, the Red Cross prevents and alleviates human suffering in the face of emergencies by
mobilizing the power of volunteers and the generosity of donors. The Red Cross provides services
to those in need regardless of citizenship, race, religion, age, sex, national origin, disability, sexual
orientation, veteran status or political affiliation.
The City of Menifee is located approximately 80 miles southeast of Los Angeles in the
southwestern portion of Riverside County. The city incorporated on October 1, 2008 as a general
law City. The city has slightly more than 90,000 residents and covers an area of over 46 square
miles. The city provides a wide range of services including planning, building, public works,
engineering, parks and recreation, and general administrative activities. With a growing
population, the city continues to prioritize safety and emergency preparedness including partnering
with other organizations.
IV. Methods of Cooperation
The City of Menifee and the Red Cross have identified the following methods of cooperation
1.Communication between organizations
Representatives of the City of Menifee and the Red Cross will maintain open communication.
Both parties will encourage their respective organizations to maintain open communication at
the state and local levels. The parties will share information (except for client information
which may be confidential or privileged, unless disclosure has been expressly authorized by
the client), relevant reports and contact information for key personnel. See Attachment A:
Organization Contact Information.

2.Engagement at the Local Level:
a. Both organizations will encourage their affiliates to collaborate and develop plans for
partnership activities.

3.Cooperative Actions
a. Maintain close coordination, liaison, and support at all levels with conferences,
meetings, and other means of communication. Include a representative of the other
party in appropriate committees, planning groups and task forces formed to mitigate,
prepare for, respond to, and recover from disaster and other emergency situations.
b. During disasters and emergencies, keep each other informed of the human needs
created by the events and the services they are providing. Share current data regarding
disasters, to include statistical information, historical information, emerging needs and
trends, damage assessments, among others, and disaster declarations, and service
delivery.
c. During a disaster or emergency situation, the Red Cross will, as appropriate at the
request of the City of Menifee, provide liaison personnel to the City of Menifee
Emergency Operations Center and any corresponding counties under the authority of
the City of Menifee. The City of Menifee will provide workspace and, whenever
possible, other required support, such as a computer, e-mail access and a designated
phone line for the Red Cross personnel assigned to the Emergency Operations Centers.
d. The city of Menifee will support the Red Cross in the use of the American Red Cross-
National Shelter System (NSS) and the Red Cross will coordinate shelter information
sharing and reporting with the City of Menifee.
e. The City of Menifee will facilitate the Red Cross’ use of county and state-owned
facilities for shelters and service delivery sites wherever possible. The terms and
conditions of such use will be set forth in a separate agreement.
f. Work together to develop plans and secure resources to facilitate delivery of services
to people with disabilities and/or functional and access needs during a disaster.
g. Actively participate in reviewing and carrying out responsibilities outlined in local
emergency operations plans.
h. During the time of disaster and readiness, keep the public informed of the parties’
cooperative efforts through the public information offices of the Red Cross and the City
of Menifee.

i. The City of Menifee recognizes that the Red Cross is dependent upon voluntary public
financial donations and will encourage residents to support Red Cross disaster relief
with financial contributions. In accordance with applicable laws and regulations, the
City of Menifee will support the Red Cross and work together, as appropriate, to
acquire necessary resources and identify funding sources that increase Local
Emergency Management and Red Cross capacity to respond to disasters and
emergencies.
j. Advocate for programs and public policy/decisions, when appropriate, designed to
mitigate disaster damage and loss of life in the City of Menifee.
k. Encourage City of Menifee residents to support the needs of hospital patients with
blood donations when appropriate.
l. Actively seek to determine other areas, projects, and services within the Red Cross and
the City of Menifee where cooperation and support will be mutually beneficial with
jointly defined goals and objectives.
m. Use or display the name, emblem, or trademarks of the Red Cross or the City of
Menifee only in the case of defined projects and only with the prior express written
consent of the other organization.
n. Make training, educational and other developmental opportunities available to the other
party’s personnel and explore joint training and exercises. Encourage all staff and
volunteers to engage in training, exercises, and disaster response activities, as
appropriate.
o. Explore opportunities for collaboration to provide community, family, and citizen
disaster preparedness within the City of Menifee.
p. Allow the use of each other’s facilities, as available and if agreed upon in writing, for
the purpose of preparedness training, meetings and response and recovery activities.
q. Widely distribute this MOU within the Red Cross’ and the City of Menifee departments
and administrative offices and urge full cooperation.
V. General
a. Both parties agree not to use or display any trademarks of the other without first
receiving the express written permission to do so.
b. Both parties will keep the public informed of their cooperative efforts.
c. Both parties will widely distribute this partnership agreement within their respective
organizations and urge full cooperation.
d. Both parties will allocate responsibility for any shared expenses in writing in advance
of any commitment.

VI. Periodic Review and Analysis
Representatives of the Red Cross and the City of Menifee will jointly evaluate their progress in
implementing this MOU every year and revise and develop new plans or goals as appropriate.
VII. Term and Termination
This MOU is effective as of the date of the last signature below and expires five years from the
last signature date. The parties may extend this MOU for additional periods not exceeding five
years each time, and if so, should confirm this in writing. This MOU may be terminated at any
time upon written notice from either party to the other.
VIII. Miscellaneous
Neither party to this MOU has the authority to act on behalf of the other party or bind the other
party to any obligation. This MOU is not intended to be enforceable in any court of law or dispute
resolution forum. The sole remedy for non-performance under this MOU shall be termination,
with no damages or penalty.

The primary points of contact in each organization will be responsible for the implementation of
the MOU in their respective organizations, coordinating activities between organizations, and
responding to questions regarding this MOU. In the event that the primary point of contact is no
longer able to serve, a new contact will be designated, and the other organization informed of the
change.
NOTE: When any attachment is updated, the revised attachment is inserted in the MOU. The
MOU does not need to be signed again.
