referred to as "Ownel', and the CITY OF MENIFEE, a municipal corporation, located in the
County of Riversade, State of California hereinafter referred to as "ClTY";
WHEREAS, the Crty is a Co-Permittee for drscharging stormwater from its MS4 facilities
pursuant to the Santa Ana RegionalWater Quality Control Board Order No R8-2010-0033,
MS4 NPDES Permit No CAS 618033 Under the terms of the permit the City is required to
enforce the provisions of the permit within its jurisdictron The requirements contained in this
agreement are intended to achteve the goals of the MS4 permit:

WHEREAS, the owner -owns rear property ("property) in the city of Menifee, county ofRiverside^ State of california, more specificatly oescrioeo in Exhioit ,A" and oepictei inExhibit "8"' each of which exhibits is attached hereto and rncorporated herein by thisreference;
wHEREAS, at the time of iniuar approvar of deveropment prolect known as:
Undenivood Shadow Mountain, Tract 29935 2, _3, _4 and -F withrn the propertydescribed n Management practices,
hereinafter referred to as "BMps," to rninimize pollutants in uiban runoff;
WHEREAS' the Owner has chosen to install andior implement BMps as described in theWater Quality Management Plan, on file with the City, hereinafter refened to as .WeMp,.ito
minimize pollutants in urban runoff and to minimize oiher adverse impacts of urban runoff:
WHEREAS, said WQMP has been certified by the Owner and reviewed and accepted by theCity;
WHEREAS' said BMPs, with installation and/or implementation on prrvate property anddraining only private property, are part of a private facility with all maintenance orreplacement, therefore, the sole responsibility of the Owner in accordance with the terms ofthis Agreement;
WHEREAS, the Owner is aware that periodic and continuous maintenance, including, but notnecessarily limited to, filtermaterial replacement and sediment removal, is required io "r.rr"peak performance of all BMPs in the WQMP and that, furthermore, such maintenanceactivity will require compliance with all Local, State, or Federal laws and regulations,tncluding those pertaining to e,onfined space.and waste disposal methods, rn effect at thetrme such maintenance occurs;
NOW THEREFORE, it is mutually stipulated and agreed as follows:
l Riqht of Access: Owner hereby provides the City of Menifee designee completeaccess, of any duration, to the BMPs and their rmmediate vicinity at Iny time, uponreasonable notice, or in the event of emergency, as determineo by tne ciiy'sEngineer, no advance notice, for the purpose of in;pection, sampring, testing of t'heDevice, and in case of emergency to direct all necessary repairs or other prev6ntativemeasures at owner's expense in accordance with the procedures set forth inparagraph 3 below. City shall make every effort at all times to minimize or avoidinterference with Owner's use of the property.
2. Owner shall use its bestefforts diligently to maintain all BMPs in a manner assuring peak performance at alltimes. All reasonable precautions shall be exercised "by Owner and Ownerisrepresentative or contractor in the removal and extraction of bny material(s) from theBMPs and the ultimate disposal of the material(s) in a manner consistent with allrelevant laws and regulations in effect at the time. As may be requested from time totime by the City' the owner shall provide lhe City with documentation identifying thematerial(s) removed, the quantity, and disposal destination.
