21-1036RESOLUTION NO. 21-1036 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF MENIFEE, CALIFORNIA TO APPOINT A REPRESENTATIVE TO THE CALIFORNIA INTERGOVERNMENTAL RISK AUTHORITY (CIRA) BOARD OF DIRECTORS AND AUTHORIZE REPRESENTATIVE TO VOTE ON BEHALF OF THE CITY OF MENIFEE WHEREAS, the City of Menifee (the "City") is a party to the Revised and Restated Joint Powers Agreement creating the Public Agency Risk Sharing Authority of California, dated December 2, 2010 (the "Joint Powers Agreement") and, as such, is a Member Agency of the Public Agency Risk Sharing Authority of California ("PARSAC"), as that term is defined in the Joint Powers Agreement; and WHEREAS, pursuant to the Joint Powers Agreement, each Member Agency of PARSAC is required to appoint a Director and an Alternate Director to act in the Director's absence, to represent the City as if the City itself were present and acting on the PARSAC Board of Directors for all matters which come before such Board of Directors, and also for the Director to be eligible for serving on the PARSAC Executive Committee; and WHEREAS, on December 21, 2010, the City Council of the City of Menifee adopted Resolution No. 10-186, appointing its Director of Finance to serve as its Director on the PARSAC Board of Directors to act on behalf of the City, and appointed its City Manager to serve as Alternate Director in the absence of the Director; and WHEREAS, on May 15, 2019, the City Council of the City of Menifee adopted Resolution No. 2019-784, appointing its Deputy City Manager to serve as its Director on the PARSAC Board of Directors to act on behalf of the City, and appointed its Deputy Human Resources Director to serve as Alternate Director in the absence of the Director; and WHEREAS, the City has since reorganized with new titles, positions and job duties to include a reclassification of the Deputy City Manager to Assistant City Manager and a Risk Manager; and WHEREAS, as of July 1, 2021, PARSAC will become California Intergovernmental Risk Authority (CIRA), which is the merger or joining of the Public Agency Risk Sharing Authority of California and the Redwood Empire Municipal Insurance Fund. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Menifee hereby appoints its Assistant City Manager, in its capacity as Director of Risk Management, to serve as its Director on the CIRA Board of Directors to act on behalf of the City; and appoints its Risk Manager to serve as Alternate Director in the absence of the Director. RESOLVED FURTHER that the City's CIRA Director is authorized to vote at CIRA Board Meetings on behalf of the City of Menifee but that all amendments to CIRA's Joint Powers Agreement will be brought back to the City Council of the City of Menifee to be approved and executed. The City Council shall execute amendments only after such amendments have been duly and formally approved by CIRA's Board of Directors. The City Manager, or a designee, is instructed to inform the Secretary of CIRA of the above appointment by sending a certified copy of this Resolution to CIRA's business office.
