TRAFFIC SIGNALS AND ASSOCIATED STRUCTURES
MAINTENANCE EASEMENT AGREEMENT
This STREETLIGHT AND ASSOCIATED STRUCTURES MAINTENANCE
EASEMENT AGREEMENT ("Agreement") is entered into this _�O day of 7 :e ,
2017, by and between the CITY OF MENIFEE, a municipal corporation ("City") and the
PALMILLA HOME OWNERS ASSOCIATION, a homeowners association and California
corporation ("Association"), for the purpose of granting an easement within the areas described
herein.
RECITALS
A. WHEREAS, the Association is the owner of cent-Rfii real property located in the
City of Menifee, State of California, near the intersection of Palm Villa Drive and Antelope Road,
and Pampas Street and Antelope Road, as reflected in the map in the attached Exhibit "A."
B. WHEREAS, subject to the terms of a Development Agreement between Muir Field
Properties ("Developer") and the City pertaining to the parcel of land located to the south of the
Association's property, in connection with the Menifee Lakes Plaza development project, the
Developer is required to construct two street lights and four sidewalk ramps (two of which are
located on the Association's property) (the "Improvements"). The Improvements are more
particularly described and detailed in the attached Exhibit `B-1" and `B-2"
C. WHEREAS, pursuant to that Development Agreement, the City intends to own and
maintain the Improvements. Furthermore, the Association and City wish to ensure that the City
can easily continue to maintain the Improvements on an ongoing basis.
D. WHEREAS, the Association desires to grant to the City a non-exclusive easement
over the Association's property, as depicted in Exhibit "A" and Exhibit "B-1" and "B-2", for the
purpose of permitting the City, or its authorized agents and/or representatives (including the
Developer), to both construct and maintain the Improvements as reflected in the attached Exhibit
"B-l" alxl `B-2". The areas encumbered by this easement is referred to herein as the "Easement
Area", and is more particularly described in the attached Exhibit "C-1" and "C-2". The grant of

the easement to the City within the Easement Area will provide the means for the City to
effectively construct and maintain the Improvements.
E. WHEREAS, the City, at its own expense, shall extend its existing landscaping
underground water and electrical facilities through the Easement Area in a safe and reasonable
manner.
F. WHEREAS, the City shall be solely responsible for any damage or disturbance to
the Association's property caused by any action taken by the City, or its representatives, within
the scope of exercising its rights under the City's Easement. In the event that such damage or
disturbance occurs, the City shall restore the Association's property to its former condition or
better.
TERMS OF EASEMENT
1. Grant of Easements. The Association hereby grants to the City, effective upon the
Effective Date, a non-exclusive easement for non-exclusive access to the Easement Area, as more
specifically defined and described in Exhibit "CA" and "C-2", and for the purposes of
constructing, maintaining, repairing, and possibly replacing the Improvements as contemplated in
Exhibit "B-1" and "B-2" to this Agreement ("Installation & Maintenance Easement" or
"Easement").
2. Reservation of Right . The Installation & Maintenance Easement conveyed by
this Agreement is subject to any and all covenants, conditions, restrictions, reservations,
easements, rights, rights of way, and encumbrances of record. Notwithstanding the foregoing, the
Association hereby agrees to not unreasonably interfere with the City's use and enjoyment of the
Easement.
3. Term of Easement. This Agreement and the resulting Installation & Maintenance
Easement shall remain in effect in perpetuity, and may be modified as contemplated in Sections 5
to 7 and 14 of this Agreement.
4. City's Construction, Maintenance, and Repair Obligations. The City, or its
authorized agent/representative, shall, at its sole cost and expense, construct the Improvements
contemplated by this Agreement and shall maintain in good condition and repair, the City's
Improvements within the Easement Area. In the event that Association's property is damaged or
disturbed as a result of City action within the Easement Area, the City, at its sole cost and expense,
shall restore the damaged property to its former condition or better.
Notwithstanding the foregoing, the City shall have no obligation to otherwise maintain
Association's property located outside of the Easement Area.
5. Ownership of Improvements. The City shall be the sole owner of the
Improvements, and may dispose, alter, or convey said Improvements as the City sees fit, provided
such a decision does not unreasonably increase the burden on the Association's property.
6. Effective Date. This Agreement shall not be effective until this Agreement has
been recorded in the County Recorder's office (the "Effective Date") and shall remain in full force
and effect in perpetuity unless and until the Agreement is terminated or otherwise amended, as
provided under the terms of this Agreement.
7. Modifications to Improvements. Notwithstanding any of the foregoing, the City
shall have the right to modify, change or otherwise alter the scope and shape of the Improvements
in its reasonable discretion, and subject to the requirements of Section 5 of this Agreement.
Furthermore, the City will not be required to seek approval from the Association to begin any
repairs and/or modifications to the Improvements (the "Work"), provided the City's Work does
not unreasonably interfere with the Association's use of the intersection.
8. Covenants Running with the Land. The Association and the City hereby declare
that all interests in the Easement Area are to be held, conveyed, encumbered, used, and improved
subject to this Easement and the covenants, terms and conditions contained herein, all of which
are declared and agreed to be for the benefit of the Easement Area. All provisions of this
Easement are imposed as covenants running with the land. All persons having or acquiring any
right, title or interest in the Easement Area or any part thereof shall take subject to the provisions
of this Easement.
9. General Provisions. This Agreement shall be governed by and construed in
accordance with the laws of the State of California. This Agreement constitutes the entire
agreement between the City and the Association pertaining to the grant of the Easement within the
Easement Area, and all prior and contemporaneous agreements, representations, negotiations and
understandings of the parties, oral or written, relating to this subject matter are hereby superseded
and merged herein or therein. This Agreement may be executed in any number of counterparts,
each of which shall be deemed an original, but all of which when taken together shall be deemed
an original, and shall constitute one and the same instrument. All exhibits attached hereto and
referred to herein are expressly incorporated herein as though set forth at length.
10. Authority. The Association and City have the power and authority to enter into
and perform their respective obligations hereunder. Each person signing this Agreement on
behalf of the Association has full power and authority to do so, and all necessary consents and
approvals have been obtained, and all corporate action has been taken to authorize the execution
and delivery of this Agreement.
11. Successors and Assigns. This Agreement is binding on and shall inure to the
benefit of each of the parties hereto and their respective successors and assigns.
12. Notices. All notices or other communications between the Parties required or
permitted hereunder shall be in writing and personally delivered, or sent by certified United
States mail, postage prepaid, return receipt requested, or sent via overnight air courier (example,
FedEx) to the following addresses:

A notice or other communication shall be effective on the date of personal delivery if personally
delivered, the next business day after deposit with the overnight air courier, or two (2) business
days following the date the notice is postmarked, if mailed via certified mail as set forth above.
Either Party may change the address to which notice is to be given to it by giving notice of such
change of address in the manner set forth above for giving notice.
13. Integration. This Agreement contains the entire agreement of the Parties with
respect to the subject matter hereof. It supersedes all prior or contemporaneous agreements and
representations.
14. Amendments. This Agreement may be modified only by a recorded written
agreement signed by the Parties or their successors in interest.
15. Severability. If any provision of this Agreement is held to be invalid or
unenforceable, the remainder of this Agreement shall not be affected and shall remain in full
force and effect.
16. Attorneys' Fees. In the event of any action or proceeding brought by either Party
against the other under this Agreement, inclusive of all appeals of any such actions or
proceedings, the prevailing Party shall be entitled to recover reasonable costs and expenses,
including, without limitation, attorneys' fees, expert witness fees, and court costs, incurred for
prosecution, defense, consultation, or advice in such action or proceeding.
17. Governing Law. This Agreement shall be governed by and construed and
enforced under the laws of the State of California.
18. Counterpart,. This Agreement may be executed in one or more counterparts, each
of which shall be an original and all of which shall constitute one agreement.
19. Recordation. This Agreement may be recorded by either Party hereto upon
receipt of a fully -executed and acknowledged original counterpart of this Agreement.
