GRANT DEED
FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged,
STARK MENIFEE LAND LLC, a Wisconsin limited liability company ("Grantor"), hereby
GRANTS to the CITY OF MENIFEE, a California municipal corporation ("City") the real
property located in the City of Menifee, County of Riverside, State of California ("Property") as
more particularly described on Schedule 1 attached hereto.
SUBJECT TO:
Taxes and assessments not yet delinquent.
2. All other covenants, conditions, restrictions, reservations, rights, rights of way,
easements, encumbrances, liens and title matters whether or not of record or visible from an
inspection of the Property or of which City has actual notice, and all matters which an accurate
survey of the Property would disclose.
Pursuant to the power of termination as set forth in Section 885.010 of the California Civil
Code, Grantor, and its successors and assigns, shall have the right, at its election, to reenter and
take possession of the Property, with all improvements thereon, and terminate and revest in
Grantor the Property if Grantee or its successors and assigns shall:
1. Use the Property for any use other than civic facilities; or
2. Develop the Property with improvements containing more than sixty
thousand (60,000) square feet of building area, unless the City of Menifee, at its sole cost and
expense, amends the applicable specific plan to allow for additional square footage of building
area in accordance with all legal requirements, including the California Environmental Quality
Act, and Grantee shall be solely responsible for complying with any revised or new mitigation
measures resulting from such specific plan amendment. The foregoing restriction of 60,000
square feet shall terminate on January 1, 2035.
