This Agreement, made and entered into by and between the City of Menifee, State of
California, herein called City, and Show Prop Menifee LLC/Showprop Menifee Pico Rivera LLC, a
California Limited Liability Company, hereinafter called Developer.
WITNESSETH
FIRST: Developer, for and in consideration of the approval of a grading plan and the
issuance of a grading perm it on that certain land division known as Showprop Menifee
LLG/Showprop Pico Rivera LLC , agrees, at Developer's own cost and expense, to furnish all
labor, equipment, and material necessary to perform and complete, and withtn24 months from the
date this agreement is executed, to perform and complete in a good and workmanlike manner, said
grading in accordance with the grading plans for the development of said land division which have
been approved by the, City Engineer, and are on file in the City, and do all work incidentalthereto in
accordance with the
standards set forth in Riverside County Ordinance No. 457 , as amended, which are expressly made
a part of this agreement. All of the above required work shall be done under the inspection of and to
the satisfaction of the City Engineer and shall not be deemed complete until approvalof the grading
project is made by the City Engineer. The estimated cost of said work is the sum
of Seven Hundred Fiftv Six Thousand Five and no/l00. Dollars $ 756,500.00 which covers
trrough grading only, tr precise (fine) grading, erosion control and WQMP only, tr both rough and
precise (fine) grading.
SECOND: Developer agrees to pay to the City the actual cost of such inspections of the work
as may be required by the City Engineer. Landowner further agrees that if suit is brought upon this
agreement or any security guaranteeing the completion of the work, all costs and reasonable
expenses and fees incurred by the City in successfully enforcing such obligations shall be paid by
Developer, including reasonable attorney's fees, and that upon entry of judgment, such costs,
expenses, and fees shall be taxed as costs and included in any judgment rendered.
THIRD: City shall not nor shall any officer or employee of City, be liable or responsible for
any accident, loss or damage happening or occurring to the works specified in this agreement prior
to the completion and approval hereof, nor shall City or any officer or employee thereof be liable for
any persons or property injured by reason of the acts or omissions of Developer, his agents or
employees in the performance of the work, and all of said liabilities are assumed by Developer.
Developer agrees to protect, defend and hold harmless City and the officers and employees thereof
from all loss, liability or claim because of, or arising out of the acts or omissions of Developer, his
agents and employees, in the performance of this agreement, or arising out of the use of any patent
or patented article in the performance of this agreement.
FOURTH: The Developer hereby grants to the City, and to any agent or employee of the City,
the irrevocable permission to enter, upon the lands of the above referenced land division for the
purpose of inspecting or completing the grading project. This permission shal! terminate in the
event that Developer has completed the work within the time specified or any extension thereof
granted by the City Engineer.

FIFTH: Developer agrees at all times, up to the completion and approval of the work by the
City Engineer, to give good and adequate warning to the traveling public of each and every
dangerous condition caused by the grading project, and to protect the traveling public from such
defective or dangerous conditions.
SIXTH: The Developer, or his agents and employees shall give notice to the City Engineer at
least 48 hours before beginning any work and shall furnish said City Engineer all reasonable
facilities for obtaining full information respecting the progress and manner of work.
SEVENTH: lf the Developer, or his agents or employees, neglects, refuses, or fails to prosecute
the work with such diligence as to insure its completion within the specified time, or within such
extensions of time as have been granted by the City Engineer, or if the Developer violates,
neglects, refuses, or fails to perform satisfactorily any of the provisions of the plans and
specifications, he shall be in default of this agreement. The City Engineer shall have the power to
terminate all rights of the Developer because of such default. The determination of the City
Engineer of the question as to whether any of the terms of this agreement or the plans and
specifications have been violated or have not been performed satisfactorily shall be conclusive
upon the Developer, and any and all parties who may have any interest in the agreement or any
portion thereof. The foregoing provisions of this section shall be in addition to all rights and
remedies available to the City under law.
EIGHTH: The Developer agrees to file with City prior to the date this agreement is executed a
good and sufficient security as provided in subsections (1), (2) and (3) of subdivision (a) of Section
66499 of the Government Code in any amount not less than the estimated cost of the work for the
faithfut performance of the terms and conditions of this agreement, except that when the estimated
cost of said work is $2,500 or less, the security shall be a deposit of cash or its equivalent as
determined acceptable by the City Engineer. Developer further agrees that if in the opinion of the
City Engineer the security becomes insufficient, Landowner agrees to renew each and every
security with good and sufficient sureties or increase the amount of the security, within ten days
after being notified by the City Engineer that the sureties or amounts are insufficient.
Notwithstanding any other provision herein, if Developer fails to take such action as is necessary to
comply with said notice, he shall be in default of this agreement unless all required works completed
within 90 days of the date on which the City Engineer notifies the Developer of the insufficiency of
the sureties or the amount of the bonds or both.
NINTH: lt is further agreed by and between the parties hereto, including the surety or sureties
on the bonds or the issuers of any instruments or letters or credit securing this agreement that, in
the event it is deemed necessary to extend the time of completion of the work contemplated to be
done under this agreement, extensions of time may be granted from time to time by the City
Engineer either at his own option or upon request of the Developer, and such extensions shall in no
way affect the validity of this agreement or release the surety or sureties on said bonds. Landowner
further agrees to maintain the aforesaid bond or bonds or the issuance of any instruments or letters
of credit in full force and effect during the terms of this agreement, including any extensions of time
as may be granted thereon.
TENTH: Since the work described in the first paragraph of this agreement consists of only
rough or precise grading, erosion control and WQMP, upon the satisfactory completion and final
approval of said work by the City Engineer, $197.000.00 of the security applicable thereto shall
be released or returned by the City to the Developer within 30 days. Of the remaining $559.500.00

security (Erosion Control and WQMP) shall be retained. The remainder security shall be held until
the California Water Quality Control Board issues a Notice of Termination.
ELEVENTH: This agreement shall be binding upon the Developer and his heirs, executors,
administrators, successors or assigns, all and each both jointly and severally.
TWELFTH: lt is understood and agreed by the parties hereto that if any part, term or provision of
this agreement is determined by the Courts to be unlawful and void, the validity of the remaining
portions shall not be affected and the rights and obligations of the parties shall be construed and
enforced as if the agreement did not contain the particular part, term or provision held to be invalid.
No waiver of any term or condition of this agreement shall be continuing waiver thereof.
THIRTEENTH: The grading operation will conform to the contract documents and the Department
of Building and Safety, County of Riverside Grading Notes (2007 CBC), attached. Any conflict or
discrepancy between the drawings and the Grading Notes shall be brought to the attention of the
City Engineer who will issuing a ruling.
FORTEENTH: The grading operation shall obtain a General Construction Permit from the
California Water Quality Control Board and conform to all requirements. This permit shall override
any conflicting requirements in the Grading Notes (2007 CBC), attached
FIFTEENTH: The Developer shall provide geotechnical quality control of the grading operation
according to Sections 300 and 301 of the latest edition of the Standard Specifications for Public
Works Construction. The geotechnical quality control will be under the supervision of a registered
geotechnical engineer in the State of California.
SIXTEENTH: The City may elect to perform geotechnical quality assurance of the grading
operation which will be compensated as provided in the SECOND paragraph.
SEVENTEENTH: The Developer agrees to grant free access to the City Engineer, his staff and
consultants to perform inspections and quality assurance sampling and tests.
EIGHTEENTH: Any notice or notices required or permitted to be given pursuant to this agreement
shall be served on the other party by mail, postage prepaid, at the following addresses:
NINETEENTH: This agreement contains the entire agreement of the parties as to the matters
set forth herein. No waiver of any term or condition of this Agreement shall be continuing waiver
thereof.

AGREEMENT
FOR LANDSCAPE AND IRRIGATION IMPROVEMENTS
This AGREEMENT FOR ON-SITE LANDSCAPE IMPROVEMENTS ("Agreement") is
made and entered into as of the I 9 * day ofrypstuhf 4019, by and between the CITY OF
MENIFEE, a California municipal corporation, ("City") and KB HOME COASTAL INC., a
California Corporation ("Landowner").
WITNESSETH
L Landowner, for and in consideration of the approval of a minor plot plan for
Iandscape and irrigation materials and installation ("Work") on that certain developrnent plan
known as "HOA-Private Slopes", on-site landscaping and irrigation plans (working drawings),
(Plot PIan No. 2018-238), which is located within "Underwood" north of Chambers Avenue, west
of Antelope Road, APNs 333-070-035 & 333-070-036, (the "Property"), agrees, at Landowner's
own cost and expense, to furnish all labor, equipment, and material necessary to perform and
cornplete the Work and, as it relates to the landscape and irrigation improvements, Landowner also
agrees that it shall maintain for a period of twelve (12) months after its Building Permit has been
issued or as otherwise required by City's Community Development Director in a good and
workmanlike rnanner, all those landscape and irrigation improvements in accordance with those
landscape and irrigation plans for the development of said entitlement which have been approved
by City's Community Development Director, and are on file in the Office of the City of Menifee
Community Dqvelopment Departrnent, and to do all work incidental thereto in accordance with
the standards set forth in Menifee Municipal Code Chapter 9.86 and Menifee Municipal. Code
Chapter 15.04, which are expresslymade a part of this Agreement, which are attached hereto as
Exhibit L to this Agreement. All of the Work shall be done under the inspection of and, to the
satisfaction of, City's Community Development Director and shall not be deemed complete until
approval of the final inspection is rnade by City's Community Development Director. Approval
of City's Community Development Director of the Work and of the final planting shall be in
writing. The estirnated cost of the Work is FOUR HTINDRED THIRTY FOUR THOUSAND
SEVENTY TWO DOLLARS AND SXTY TWO CENTS ($434,072.62).
L Landowner agrees to pay to City the actual cost of such inspections of the Work as
rnay be required by City's Community Development Director. Landowner and City further agree
that if suit is brought upon this Agreement or any security guaranteeing the completion of the
Work, all reasonable costs, expenses, and fees incurred by City in successfully enforcing such
obligations shall be paid by Landowner including reasonable attorneys' fees, and that upon entry
of judgment, such costs, expenses, and fees shall be taxed as costs and included in any judgment
rendered.
L To the fullest extent perrnitted by law (including, without limitation, California
Civil Code Sections 2782 and 2782.6), Landowner shall defend (with legal counsel reasonably
acceptable to City), indernnify, and hold free and hannless City and City's agents, officers, and
employees, (each, an "Indemnitee") from and against any and all clairns, loss, cost, damage, injury
(including, without lirnitation, injury to or death of Landowner or any officers, agents, employees,
representatives, or subcontractors of Landowner [collectively, the "Landowner Entities"]),

expense, and liability of every kind, nature, and description (including, without limitation,
incidental and consequential damages, court costs, attorneys' f-ees, litigation expenses, and fees of
expert consultants or expert witnesses incurred in connection therewith and costs of investigation)
that arise out of, pertain to, or relate to, directly or indirectly, in wholc or in part, the negligence,
recklessrless, or willful misconduct of Landowrler, any of the Landowner Entities, anyone directly
or indirectly employed by either the Landowner or Landowner Entities, or anyone that the
Landowner or Landowner Entities control (collectively, the "Liabilities"), in connection with the
implernentation of this Agreement. Such obligation to defend, hold harmless, and indemnify any
Indemnitee shall not apply to tl're extent that such Liabilities arc caused by the solc negligence or
willful misconduct of such lndemnitee.
L Landowner hereby grants to City, and to any agent or employee of City, the
irrevocable permission to enter upou the Property for the purpose of inspecting the Work or
determining compliance with this Agreement. This permission shall tenninate in the event that
Landowner has completed the Work within the time specified or any extension thereof granted by
City's Community Development Director, and upon the City's Community Development
Director's final approval of the Work.
I Landowner agrees at all times, up to the completion and written approval of the
Work by City's Community Developrnent Director, to give good and adequate wanring to the
traveling public of each and every dangerous condition caused by the Work, and to protect the
traveling public tiorn such def-ective or dangerous conditions.
6- Landowner, or its agents and ernployees, shall givc noticc to City's Community
Developrnent Director at least forty-eight (48) hours before beginning the Work. Furthermore,
Landowner shall provide City's Community Development Director with any and all information
or any other rnaterials, deemed reasonably necessary by the Community Development Director or
its designee, to allow the City's Community Developrnent Director or its designee the ability to
monitor, assess, and inspect the progress and manner of the Work,
L Landowner shall comply with all applicable local, state, and federal laws and
regulations applicable to the perlbrrnance ol'the Work. Landowner shall not hire or cmploy any
person to perform work within City or allow any person to perform the Work required undcr this
Agreemcnt unless such pcrson is properly documentcd and lcgally entitled to be employed within
the United States. Any and all work subject to prevailing wages, as determined by the Director of
Industrial Relations of the State of California, will bc the minimum paid to all laborcrs, including
Landowner employees, contractors, and subcontractors. It is understood that it is the rcsponsibility
of Landowner to determine the correct scale. The State Prevailing Wage Rates may be obtained
from the California Department of Industrial Relations ("DIR") pursuant to California Public
Utilities Code, Sections 465, 466, and 461 by calling 415-703-4114. Appropriate records
demonstrating compliance with such requirement shall be maintained in a safe and secure location
at all times, and readily available at City's request. Landowner and all Landowner Entities shall
obtain and maintain a City of Menifee business license. Landowner shall require the same of all
contractors and subcontractors.
& If Landowner, or its agents or employees, neglects, refuses, or fails to prosecute the
Work with such diligence as to insure its completion within the speciljed time, or within such

extensions of time as have been, or may be, granted by City's Community Dcvelopment Dircctor,
or if Landowner violates, neglccts, rcfuscs, or f'ails to pertbnn satisfactorily any of the provisions
of the plans and specifications, Landowner shall be in default of this Agreement and notice in
writing of such default may be scrvcd upon Landowner. City's Comrnunity Devclopmcnt Director
shall have the power to tenninate all rights (granted by Plot Plan No. 2018-238) of Landowner due
to such default. The determination of City's Community Development Director of the question as
to whether any of the terms of this Agreement or the plans and specifications have been violated
or have not been perforrned satisfactorily shall be conclusive upon Landowner, and any and all
parties who may have any interest in this Agreement or any portion thereof. No delay or omission
in the exercise of any right or remedy by City shall impair such right or remedy or be construed as
a waiver. City's consent or waiver of one act or omission by Landowner shall not be deerned to
constifute a consent or waiver of City's rights with respect to any subsequent act or omission by
l.andowner. Any waiver of any default shall be in writing. 1'he fbregoing provisions o1'this Section
shall be in addition to all rights and remedies available to City under law.
L Prior to the date this Agreement is executed, l,andowner agrecs to file with City
good and sufticient security as providcd in subscctions (l), (2), and (3) of subdivision (a) of
Section 66499 of the Governrnent Code in any arnount not less than the estimated cost of the Work
for the faithful performance of the terms and conditions of this Agreement, except that when the
estimated cost of said work is $2,500 or less, the security shall be a deposit of cash or its equivalent
as determined acceptable by City's Building Director. Landowner further agrees that if the security
is a bond and if the sureties on the faithful performance bond or the amount of said bonds in the
opinion of City's Community Development Director becomes insufficient, Landowner agrees to
renew each and every bond or bonds with good and sufficient sureties or increase the amount of
said bonds, or both, within ten (10) days after being notitred by City's Community Dcvelopment
Dircctor that thc sureties or Autoullts arc insufficient. Notwithstanding any other provision herein,
if t,andowncr fails to take such action as is nccessary to cornply with said noticc, Landowner shall
be in default of this Agreement unless all requircd work is completed within r-rinety (90) days of
the date on which City's Cornrnunity Development Director notifies Landowner of the
insufficiency of the sureties or the amount of the bonds or both.
1O It is further agreed by and between the parties hereto, including the surety or
sureties on the bonds or the issuers of any instrurnents or letters of credit securing this Agreentent,
that, in the event it is dcerned necessary to extend the timc of completion of thc Work contemplated
to be done under this Agreement, extensions of time may be granted fiorn time to time by City's
Cornmunity Dcvelopment Director either at his/hcr option or upon rcquest of Landowner. altd such
cxtcnsions shall in no way affcct thc validity of this Agrccmcnt or rclcasc thc surcty or sllretics on
said bonds. [-andowner further agrecs to maintain the aloresaid bond or bottds or thc issuancc of
any instruments or lettcrs of credit in full force and effect during thc term of this Agrcement,
including any extensions of time as may be granted thereon.
l*L Upon the satisfactory completion and written approval of the Work by City's
Cornmunity Development Director, the entire arnount of the security shall be released or returned
by City to Landowner.
L This Agreement shall be binding upon Landowner and its heirs, executors,

13* With the exception of the specific provisions set forth in this Agreement, there are
no intended third-party beneficiaries under this Agreement and no such other third parties shall
have any rights or obligations hereunder.
b lt is understood and agreed by the parties hereto that if any part, term, or provision
of this Agreement is held to be unlawful and void, the validity of the remaining portions shall not
be affected and the rights and obligations of the parties shall be construed and enforced as if this
Agreement did not contain the particular part, term, or provision held to be invalid. No waiver o1'
any tcnn or condition of this Agrecment shall be a continuing waivcr thercof'.
-1l. This Agreement may be executed in multiple counterparts, cach of which shall be
an original and all of which together shall constitute one agreernent.
16 Landowner shall not discriminate in any woy, against any person on the basis of
race, color, religious creed, national origin, ancestry, sex, age, physical handicap, medical
condition or marital status in connection with or related to the performance of this Agreement.
lL The laws of thc Statc of California shall govem this agrecment. In the cvent of
litigation between the parties, venue in state trial courts shall lie exclusively in the County of
Riverside, California. In the event of litigation in a U.S. District Court, vcnuc shall lie cxclusivcly
in the Central District of California, in l,os Angeles.
l& The person(s) executing this Agreernent on behalf of the parties hereto warrant that
(a) such party is duly organtzed and existing, (b) they are duly authorized to execute and deliver
this Agreement on behalf of said party, and (c) by so executing this Agreement, such party is
formally bound to the provisions of this Agreement.
19. Any notice or notices required or permitted to be given pursuant to this Agreement
