2018/09/19 Riverside County Transportation Commission FY18 Railway crossing agreement RAILWAY CROSSING AGREEMENT BETWEEN THE CITY OF MENIFEE,RIVERSIDE COUNTY TRANSPORTATION COMMISSION,AND CALATLANTIC HOMES OF CALIFORNIA, INC. This RAILWAY CROSSING AGREEMENT BETWEEN THE CITY OF MENIFEE, RIVERSIDE COUNTY TRANSPORTATION COMMISSION,AND CALATLANTIC HOMES OF CALIFORNIA, INC. ("Railway Crossing Agreement") is entered into as of Q teAer 1 , 2018 ("Effective Date"), by and between the CITY OF MENIFEE, a California municipal corporation("City"),RIVERSIDE COUNTY TRANSPORTATION COMMISSION ("RCTC"), and CALATLANTIC GROUP, INC., CALATLANTIC, a Delaware corporation("CalAtlantic"). The City, RCTC, and CalAtlantic may be referred to herein individually as a "Party," or collectively as the "Parties." RECITALS A. The existing railway right-of-way and associated improvements, depicted in Exhibit "A," attached hereto and incorporated herein by reference, is owned and controlled by RCTC and traverses a portion of the City ("Railway"). The Railway within the City is maintained by and not currently in use by RCTC or any other person or entity. While the Railway is not currently active, it is certified with the U.S. Department of Transportation Federal Railroad Administration and identified as Rail Crossing 027359G and California Public Utility Commission Crossing Number 002X-25.80. B. CalAtlantic desires to make short-term modifications to a rail crossing that traverses the Railway("Rail Crossing")and has submitted plans for such short-term modifications ("Short-term Rail Crossing Modifications")to the County of Riverside and the City ("Plans"). The Short-term Rail Crossing Modification Plans are attached hereto as Exhibit "B" and are incorporated herein by reference. The Short-term Rail Crossing Modification Plans have been approved by the County of Riverside and are currently pending approval by the City . C. RCTC desires to preserve its rights to use,enhance and improve the Railway right- of-way in the future, including potentially extending commuter and/or freight rail service through the City of Menifee. In the event RCTC desires to use the Railway in the future, long-term modifications to the Railway Crossing will be necessary ("Rail Crossing Improvement Project"). D. The Parties acknowledge and agree that the estimated cost of the Rail Crossing Improvement Project is Four Hundred Fifty Thousand Dollars ($450,000). E. The Parties desire to establish a security in the amount of Four Hundred Fifty Thousand Dollars ($450,000) for the estimated cost of the Rail Crossing Improvement Project in the event the Rail Crossing Improvement Project becomes necessary in the future. F. The Parties now desire to enter into this Railway Crossing Agreement to set forth their mutual understanding and agreement with respect to the Short-term Rail Crossing Modifications and the potential future Rail Crossing Improvement Project, if such Rail Crossing Improvement is determined by RCTC to be necessary as a result of future use of the Railway. 4852-77084773.3 AGREEMENT NOW, THEREFORE, based upon the foregoing Recitals, which are incorporated herein by this reference, and for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows: 1. CalAtlantic Agreements. 1.1 Within twenty (20) days following the full, complete and final execution of this Agreement CalAtlantic shall provide the City with a letter of credit ("Acceptable Letter of Credit") for the Rail Crossing Improvement Project in the amount of Four Hundred Fifty Thousand Dollars ($450,000). (a) As used herein, the term "Acceptable Letter of Credit" shall mean a letter of credit that satisfies all of the following conditions and requirements: (i) such letter of credit shall be irrevocable, unconditional, freely transferable and a clean sight draft letter of credit, (ii) the issuer of the letter of credit shall be a United States based financial institution acceptable to City in City's reasonable discretion, (iii) the letter of credit shall be an "evergreen" letter of credit, which shall automatically be extended without amendment for successive one (1) year periods beginning on the expiration date thereof and upon each anniversary of such date, unless at least sixty (60) days prior to any such expiration date the issuer sends City written notice by courier service or overnight that the issuer elects not to permit the letter of credit to be so extended beyond its then current expiration date; and(iv) the letter of credit shall otherwise be acceptable to City as to form and content in City's reasonable discretion. (b) If the issuer of the Acceptable Letter of Credit: (i) becomes insolvent, (ii) commences on its own behalf or is otherwise the subject of a bankruptcy, insolvency, receivership or similar proceedings, (iii) ceases to exist, (iv) is subject to a downgrade of its rating below that required by City, or(v) becomes subject to a reasonable determination by City that such issuer's insolvency is imminent, CalAtlantic will deliver to City a replacement Acceptable Letter of Credit in the identical amount within ten (10) business days of the date the insolvency is known,the bankruptcy or similar proceeding is filed,the cessation occurs, the rating downgrade occurs or City gives CalAtlantic notice that City has determined that such issuer's insolvency is imminent. If CalAtlantic fails to timely deliver such replacement Acceptable Letter of Credit, City shall draw upon the existing Acceptable Letter of Credit and deposit such funds into a City account The City shall deposit such funds in a separate City account to be held for the benefit for RCTC and shall be made available to RCTC upon request to use in accordance with the terms of this Railway Crossing Agreement. (i) Any Acceptable Letter of Credit (and any replacement or substitution thereof) shall be replaced by CalAtlantic by a new substitute Acceptable Letter of Credit in an identical amount on or before thirty (30) days prior to the expiry of the previously deposited Acceptable Letter of Credit. To the extent, for any reason, CalAtlantic fails to cause such replacement Acceptable Letter of Credit to be provided to City thirty (30) days prior to the expiry of the 2774/031858-0006 12235399.3 a09/07/18 -2- existing Acceptable Letter of Credit then, without prejudicing any other rights or remedies City may have hereunder in such circumstance, City shall draw such Acceptable Letter of Credit with such funds being deposited into a City account. The City shall deposit such funds in a separate City account to be held for the benefit for RCTC and shall be made available to RCTC upon request to use in accordance with the terms of this Railway Crossing Agreement. 1.2 Upon receipt of final approvals, including, without limitation, an accepted and approved GO-88 application submitted to the California Public Utility Commission (CPUC) by the City, CalAtlantic hereby agrees to construct the Short-term Rail Crossing Modifications pursuant to the Plans in Exhibit "B," which have been approved by the County of Riverside and are pending approval by the City. Execution of this Railway Crossing Agreement constitutes RCTC approval of Plans as set for in Exhibit "B," provided that any changes in the Plans as shown in Exhibit "B" shall be reviewed and approved by RCTC in writing and in its sole and absolute discretion. Parties will work cooperatively to achieve plan approval within 30 days of execution of this Railway Crossing Agreement. CalAtlantic shall construct the Short-term Rail Crossing Modifications within 60 days of approval of Plans,traffic control plans and issuance of the Right of Entry permit. 2. City Agreements. 2.1 City shall retain CalAtlantic's Acceptable Letter of Credit and shall not be entitled to draw such Acceptable Letter of Credit or present for payment such Acceptable Letter of Credit except in accordance with the terms herein. 2.2 In the event the Rail Crossing Improvement Project become necessary in the future as a result of RCTC's desire to use the Railway, as determined by RCTC in its sole and absolute discretion, City shall present the proceeds of the Acceptable Letter of Credit for payment to RCTC and shall apply a portion of or the entirety of the proceeds of such Acceptable Letter of Credit to RCTC in the amount of the cost to design and construct the Rail Crossing Improvement Project, up to and not to exceed Four Hundred Fifty Thousand Dollars ($450,000), within ten (10) business days of City's receipt of a demand for payment in writing by RCTC accompanying a written statement that RCTC has determined the Rail Crossing Improvement Project to be necessary and written statement from RCTC that it has, in good faith, obtained a reliable estimate(s)and/or bid(s) for the cost of such Rail Crossing Improvement Project from the entity or entities selected to do the design and/or construction work (including without limitation construction management) on the Rail Crossing Improvement Project, provided in accordance with Section 3.2, below. (a) If RCTC determines in its sole and absolute discretion that the cost of the Rail Crossing Improvement Project will be less than Four Hundred Fifty Thousand Dollars ($450,000), City shall present for payment the remainder of the Acceptable Letter of Credit to CalAtlantic following RCTC's written notice to the City that it has fully completed the Rail Crossing Improvement Project for a cost of less than$450,000 2.3 In the event that RCTC determines in its sole and absolute discretion the Rail Crossing Improvement Project is unnecessary, RCTC shall inform the City in writing within a 2774/031858-0006 12235399.3 a09/07/18 -3- reasonable period of time following a determination that the Rail Crossing Improvement Project is unnecessary and the City shall present for payment the entirety of the Acceptable Letter of Credit to CalAtlantic within ten(10) business days of receipt of such notice from RCTC. 2.4 City shall use reasonable good faith efforts, in its sole and absolute discretion, to require future applicants/developers of projects that the City anticipates, in its sole and absolute discretion, will impact or benefit from the Rail Crossing Improvement Project, to contribute a fair share fee toward the cost of the Rail Crossing Improvement Project in the event the Rail Crossing Improvement Project becomes necessary. (a) In the event fair share fees are collected from future applicants/developers prior to implementation of the Rail Crossing Improvement Project, such fair share fees shall be contributed by future applicants/developers in the form of an Acceptable Letter of Credit, submitted to the City prior to the recordation of a final map for any conditioned project and shall be retained by City for the purpose of implementing the Rail Crossing Improvement Project. In the event the City collects any such Acceptable Letters of Credit from future applicants/developers,the City shall,within a reasonable period of time following receipt of any such Acceptable Letter(s) of Credit, notify CalAtlantic of the amount collected and allow CalAtlantic the opportunity to reduce the then-existing Acceptable Letter of Credit by the amount collected. Prior to releasing, reducing or otherwise modifying an Acceptable Letter of Credit, the City shall provide written notice to RCTC and shall permit RCTC to review and approve, in RCTC's sole and absolute discretion, any Acceptable Letter of Credits posted by such other developer and any replacement Acceptable Letter of Credit by CalAtlantic. (b) In the event future fair share fees for the Rail Crossing Improvement Project are collected by the City from future applicants/developers following design and construction of the Rail Crossing Improvement Project, all fair share fees collected for the Rail Crossing Improvement Project shall be collected by the City and dispersed to CalAtlantic within a reasonable period of time following collection of such fees. 2.5 In the event the City collects fair share fees for the Rail Crossing Improvement Project and RCTC provides written notice approved by the RCTC Board of Directors, in its sole and absolute discretion, that RCTC has abandoned the Rail Crossing Improvement Project,the City shall present for payment the Acceptable Letter of Credit to CalAtlantic and any other Acceptable Letter(s) of Credit from other applicants/developers collected for the purpose of the Rail Crossing Improvement Project within thirty(30)business days of written notice by RCTC to the City stating RCTC's unequivocal intent to abandon the Rail Crossing Improvement Project. 3. RCTC Agreements. 3.1 RCTC hereby agrees to review and process the Right of Entry permit in accordance to its standard policy and timeframe and to allow CalAtlantic to design and construct the Short- 2774/031858-0006 12235399.3 a09/07/18 -4- term Rail Crossing Modifications pursuant to the Plans in Exhibit "B," which have been approved by the County of Riverside and are pending approval by the City . 3.2 In the event the Rail Crossing Improvement Project becomes necessary, RCTC agrees to provide the City with a written estimate of the cost to design and construct the Rail Crossing Improvement Project. RCTC agrees that the maximum contribution of funding by CalAtlantic under this Railway Crossing Agreement shall by $450,000. This Section 3.2 does not prohibit RCTC from seeking grant funding for the Rail Crossing Improvement Project 4. Indemnification and Release. 4.1 CalAtlantic shall indemnify, defend and hold harmless the City, and its officers, officials, employees, agents, representatives, contractors, successors and assigns (collectively, the "City Indemnitees") from and against any and all claims, demands, causes of action, obligations, setoffs, liabilities, losses, injuries and damages of any kind or nature whatsoever, whether known or unknown, suspected or unsuspected, foreseen or unforeseen, liquidated or unliquidated (collectively, "Claims") that may be asserted or claimed by any person or entity arising in any way out of the City's activities under this Railway Crossing Agreement, whether or not there is concurrent passive negligence on the part of City Indemnitees, but excluding such Claims to the extent they arise from the active negligence or willful misconduct of a City Indemnitees or the acts of independent third parties. CalAtlantic shall indemnify, defend and hold harmless RCTC, and its officers, officials, employees, agents, representatives, contractors, successors and assigns (collectively,the"RCTC Indemnitees")from and against any and all Claims that may be asserted or claimed by any person or entity arising in any way out of RCTC's activities under this Railway Crossing Agreement, whether or not there is concurrent passive negligence on the part of RCTC Indemnitees, but excluding such Claims to the extent they arise from the active negligence or willful misconduct of a RCTC Indemnitees or the acts of independent third parties 4.2 City shall indemnify, defend and hold harmless CalAtlantic, and its officers, officials, employees, agents, representatives, contractors, successors and assigns (collectively, "CalAtlantic Indemnitees") from and against any and all Claims that may be asserted or claimed by any person or entity arising in any way out of the City's activities under this Railway Crossing Agreement, whether or not there is concurrent passive negligence on the part of City Indemnitees, but excluding such Claims to the extent they arise from the active negligence or willful misconduct of City Indemnitee or the acts of independent third parties. City shall indemnify, defend and hold harmless RCTC, and its officers, officials, employees, agents, representatives, contractors, successors and assigns (collectively, "RCTC Indemnitees") from and against any and all Claims that may be asserted or claimed by any person or entity arising in any way out of the City's activities under this Railway Crossing Agreement,whether or not there is concurrent passive negligence on the part of City Indemnitees, but excluding such Claims to the extent they arise from the active negligence or willful misconduct of City Indemnitee or the acts of independent third parties. 4.3 RCTC shall indemnify, defend and hold harmless the City, and its officers, officials, employees, agents, representatives, contractors, successors and assigns (collectively, "City Indemnitees") from and against any and all Claims that may be asserted or claimed by any person or entity arising in any way out of RCTC's activities under this Railway Crossing 2774/031858-0006 12235399.3 a09/07/18 -5- Agreement, whether or not there is concurrent passive negligence on the part of RCTC Indemnitees, but excluding such Claims to the extent they arise from the active negligence or willful misconduct of RCTC Indemnitee or the acts of independent third parties. RCTC shall indemnify, defend and hold harmless CalAtlantic, and its officers, officials, employees, agents, representatives, contractors, successors and assigns (collectively, "CalAtlantic Indemnitees") from and against any and all Claims that may be asserted or claimed by any person or entity arising in any way out of RCTC's activities under this Railway Crossing Agreement, whether or not there is concurrent passive negligence on the part of RCTC Indemnitees, but excluding such Claims to the extent they arise from the active negligence or willful misconduct of RCTC Indemnitee or the acts of independent third parties. 5. Miscellaneous 5.1 Notices. All notices, transmittals of documentation and other writings required or permitted to be delivered or transmitted to either of the parties under this Railway Crossing Agreement shall be personally served or deposited in a United States mail depository, first class postage prepaid, and addressed as follows: If to the City: City of Menifee 29714 Haun Road Menifee, CA 92586 If to RCTC: Riverside County Transportation Commission 4080 Lemon Street, Third Floor Riverside, CA 92501 If to CalAtlantic: CalAtlantic Group, Inc. c/o Lennar Homes of California, Inc. Attn: Mr. William Sacriste, Director of Forward Planning 980 Montecito Drive, Suite 302 Corona, CA 92879 or such other addresses any Party may direct to the other Parties in writing. All such notices and communications shall be deemed to have been duly given when delivered by hand, if personally delivered. Except where service is by registered or certified mail, return receipt requested,service of any instrument or writing shall be deemed completed forty-eight (48) hours after deposit in the United States mail depository. 5.2 Assignment. During the term of this Railway Crossing Agreement, any of the Party's rights and obligations may be assigned, transferred or otherwise conveyed to any third party upon notice to the Parties, on condition that such assignee or transferee agrees in writing to assume all of the obligations and requirements of the Party under this Railway Crossing Agreement. 5.3 No Third Party Beneficiaries. Nothing expressed or mentioned in this Railway Crossing Agreement is intended or shall be construed to give any person, other than the Parties hereto and their respective authorized successors and assigns, any legal or equitable right,remedy 2774/031858-0006 12235399.3 a09/07/18 -6- or claim under or in respect to this Railway Crossing Agreement or any of the provisions contained herein. This Railway Crossing Agreement and each and every condition and provision hereof are intended to be for the sole and exclusive benefit of the Parties and their respective authorized successors and assigns, and for the benefit of no other person or entity. 5.4 Governing Law. This Railway Crossing Agreement shall be governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be performed within the State. 5.5 Waiver; Remedies. No failure on the part of any Party hereto to insist upon or demand the strict performance by any other Party of any covenant, term, condition or promise of this Railway Crossing Agreement, or to exercise any right or remedy as a result of any breach of the Railway Crossing Agreement, shall constitute a continuing waiver of any such breach or of any such covenant, term, condition, promise, right or remedy. No waiver of any breach shall in any way affect, alter or modify this Railway Crossing Agreement, but each and every covenant, term, condition and promise of this Railway Crossing Agreement shall continue in full force and effect. No single or partial exercise of any right, remedy, power or privilege under this Railway Crossing Agreement shall preclude any other or further exercise thereof or the exercise of any other right, remedy, power or privilege under this Railway Crossing Agreement. 5.6 Status of the Parties. Nothing in this Railway Crossing Agreement shall be construed to make the Parties joint venturers or partners, or to create any relationship of principal and agent, and the parties specifically disavow such relationships. 5.7 Interpretation. This Railway Crossing Agreement has been negotiated at arms' length between persons sophisticated and knowledgeable in the matters addressed herein, and all Parties have had the opportunity to consult with legal counsel of each Party's choosing regarding this Railway Crossing Agreement. Accordingly,any rule of law(including California Civil Code § 1654) or legal decision that would require interpretation of this Railway Crossing Agreement against the drafter hereof is not applicable and is waived. 5.8 Entire Agreement. This Railway Crossing Agreement is intended by the Parties as a final expression of their agreement and is intended to be a complete and exclusive statement of the agreement and understanding of the Parties hereto with respect to the subject matter contained herein. There are no restrictions, promises, warranties or undertakings relating to the subject matter of this Railway Crossing Agreement, other than those set forth or referred to herein. 5.9 Warranty of Authority. Each officer of the Parties affixing his or her signature below thereby warrants and represents that he or she has the lull legal authority to bind his or her respective party to all of the terms, conditions and provisions of this Railway Crossing Agreement; that his or her respective party has the full legal right, power, capacity and authority to enter into this Railway Crossing Agreement and perform all the obligations herein; and that no other approvals or consents are necessary in connection therewith. 2774/031858-0006 12235399.3 a09/07/18 -7- 5.10 Modifications. Neither this Railway Crossing Agreement nor any provision hereof may be changed, waived, discharged or terminated orally or in writing, except that any provision of this Railway Crossing Agreement may be amended by a writing signed by Parties. 5.11 Headings. The headings in this Railway Crossing Agreement are for convenience of reference only, and shall not limit or otherwise affect the meaning of this Railway Crossing Agreement. 5.12 Successors and Assigns. Subject to Section 5.2 above, this Railway Crossing Agreement shall inure to the benefit of, and be binding upon the Parties and their respective successors and assigns. 5.13 Exhibits. This Railway Crossing Agreement contains exhibits, attached hereto and made a part hereof by this reference. Said exhibits are identified as follows: A. Location of Railway B.
