2011/08/16 Becker Engineering Amendment No. 1 to 08/17/2010 AMENDMENT NO. 1 TO
PROFESSIONAL SERVICES AGREEMENT
This is Amendment No. 1 to that certain AGREEMENT for Professional Services
Agreement ("Agreement") made on August 17, 2010, by and between the City of Menifee
("City") and Contractor: BECKER ENGINEERING ('Consultant), which Amendment is made
and entered into on August 16, 2011 to increase the scope of work and compensation as
indicated below:
Section 1.1, "Term of Services" is amended to read as follows:
Section 1.1 Term of Services. The term of this Agreement shall begin on July 1, 2011 and
shall end on December 31, 2011.
Section 2, "Compensation" is amended to read as follows:
Section 2. COMPENSATION. City hereby agrees to pay Contractor a sum not to exceed
$200,000 on a time and material basis based the rates and expenses contained in Exhibits A
and B.
Section 5, Indemnification" is amended to read as follows:
Section 5. INDEMNIFICATION: Contractor shall hold harmless, defend and indemnify City
of Menifee,its officers, officials, employees and volunteers from and against all claims,
damages, losses and expenses including attorney fees which actually or allegedly arise out of
the performance of the work described herein, caused in whole or in part by any negligent act or
omission of the contractor, any subcontractor, anyone directly or indirectly employed by any of
them or anyone for whose acts any of them may be liable, except where caused by the active
negligence, sole negligence, or willful misconduct of City of Menifee, its officers, officials,
employees and volunteers.
Section 7.2, "Compliance with Applicable Laws" is amended to read as follows:
Section 7.2 Compliance with Applicable Laws. Consultant and any subcontractor shall
comply with all applicable local, state and federal laws and regulations applicable to the
performance of the work hereunder. Consultant shall not hire or employ any person to perform
work within the City of Menifee or allow any person to perform work required under this
Agreement unless such person is properly documented and legally entitled to be employed
within the United States. Consultant shall require the same of all subcontractors. Contractor
and its subcontractors shall use e-verify to determine if the employees are legally entitled to
work in the United States and shall keep documentation available for review during the length of
the contract with the City of Menifee.
