2009/03/17 Becker Engineering Street Maintenance Services (6) STREET MAINTENANCE SERVICES AGREEMENT GUARANTEE THIS AGREEMENT is made as of March 17, 2009 by and between the City of Menifee, a municipal corporation("City") and Becker Engineering ("Contractor"). RECITALS A. City desires to utilize the services of Contractor as an independent contractor to provide street maintenance services to City as set forth in Exhibit "A" - City's Request for Proposal, including all its appendices. B. Contractor represents that it is fully qualified to perform such street maintenance services by virtue of its experience, licensing and the training, education and expertise of its principals and employees. NOW, THEREFORE, in consideration of performance by the parties of the covenants and conditions herein, contained,the parties hereto agree as follows: 1. Contractors Services. A. Scope of Services. Contractor shall provide the services and supplies as described in Exhibit "A," --Contractor's Proposal, attached and incorporated as if fully set out here. B. Additional or Other Services. Any proposed changes in the work to be performed under this Agreement shall be made only by written amendment to this Agreement. Contractor is not authorized to undertake any work which would result in costs, expenses, or fees in excess of the costs contained in Exhibit "A" without the prior express written approval of the City Manager. Should the City require the Contractor to provide additional services beyond the Scope of Work described in Exhibit "A", for services not specifically described therein, the rates and quantities shall be negotiated between the City and Contractor. 2. Term of Agreement. This Contract shall take effect on July 1, 2009, and shall continue until July 1, 2010 unless sooner terminated as set out here. The City shall have the option, at the City's sole discretion,to renew the contract for one or more additional year(s)upon successful demonstration of exemplary contract performance. 3. Compensation. City agrees to compensate Contractor for each service which Contractor performs to the satisfaction of City in compliance with the schedules set forth in Exhibit`B," attached and incorporated here was negotiated based on specific quantities of work. Becker Engineering Agreement 4. General Terms and Conditions. In the event of any inconsistency between the provisions of this Agreement and Contractor's proposal,the provisions of this Agreement shall control. A. Time is of the Essence - Contractor shall perform the services provided for herein in strict accordance with the schedules set forth by the City. B. License: Contractor represents and agrees that all personnel engaged by the Contractor in performing the services are and shall be fully qualified and are authorized or permitted under Federal, State, and local law to perform such services. Contractor represents and warrants to the City that it has all licenses, permits, qualifications, and approvals required to provide the services and work required to be performed by this Agreement. Contractor further represents and warrants that it shall keep in effect all such licenses, permits, and other approvals during the term of this Agreement and any extension thereof. Contractor shall have in full force and effect on or before April 1, 2009, and maintain in effect during: the term of this Agreement and any extension thereof a Class A License (General Engineering Contractor) and C. Standard of Performance. City is relying upon the skill of Contractor to perform the services set out here. Services provided to the City pursuant to this Agreement shall be provided in a first class and workmanlike manner conforming to the standards of quality normally provided in the field and to the sole satisfaction of the City Manager. The Contractor promptly and at its sole cost shall be responsible to the City for the repair of any errors or omissions in the performance of services or work pursuant to this Agreement. Contractor has provided a guarantee to City in the form set out in Exhibit"C," attached and incorporated here. D. Subcontracting Subject to Approval- Contractor may not subcontract any portion of the work to other persons or contractors without prior express written approval from the City Manager. Any subcontractor shall be required to comply with the provisions of this agreement. E. Administration- This Agreement will be administered by the City Manager or his designee, ("City Manager"). The City Manager shall be the Project Administrator and shall have the authority to act for the City under this Agreement. The City Manager shall represent the City in all matters pertaining to the services to be rendered pursuant to this Agreement. F. Progress - Contractor shall keep the City Manager and any other person he to receive such information informed on a regular basis regarding the status and progress of the work, activities performed and planned, and any meetings that have been scheduled or are desired. G. City's Right to Utilize other Contractors - The City reserves the right to employ other contractors in connection with the subject matter of the Scope of Work. 2 Becker Engineering Agreement H. Contractor's Records - Contractor shall keep all required records and invoices in connection with its work to be performed under this Agreement. Contractor shall maintain complete and accurate records with respect to the costs incurred under this Agreement. All such records shall be clearly identifiable. Contractor shall allow a representative of the City during normal business hours to examine, audit, and make transcripts or copies of such records. Contractor shall allow, inspection of all work, date, documents,proceedings, and activities related to the Agreement for a period of five (5) years from the date of final payment under this Agreement. 5. Notice. Notice shall be deemed given under this Agreement when in writing, address as follows, delivered personally, by confirmed fax or three days after deposit in the U.S. mail, first class. City: Contractor: City Manager City of Menifee 29714 Haun Road Menifee, CA 92586 6. Status as Independent Contractor. A. Contractor is, and shall at all times remain as to City, a wholly independent contractor. Contractor shall have no power to incur any debt obligation or liability on behalf of City or otherwise act on behalf of City as an agent. Neither City nor any of its agents shall have control over the conduct of Contractor or any of Contractor's employees, except as set forth in this Agreement. Contractor shall not, at any time, or in any manner, represent that it or any of its agents or employees are in any manner agents or employees of City. B. Contractor shall pay all required taxes on amounts paid to Contractor under this Agreement and shall indemnify and hold City harmless from any and all taxes, assessments,penalties, and interest asserted against City by reason of the independent contractor relationship created by this Agreement. In the event that City is audited by any Federal or State agency regarding the independent contractor status of Contractor and the audit in any way fails to sustain the validity of a wholly independent contractor relationship between City and Contractor,then Contractor agrees to reimburse City for all costs, including accounting and attorneys fees, arising out of such audit and any appeals relating thereto. 7. Indemnification. To the fullest extent permitted by law, Contractor, at its sole cost and expense, shall defend,protect, indemnify, and hold harmless the City and its elected officials, officers, attorneys, agents, employees, volunteers, successors, and assigns (collectively "Indemnitees") from and against any and all damages, costs, expenses, liabilities, claims, demands, causes of action,proceedings, expenses, judgments,penalties, liens, and losses of any nature whatsoever, including fees for accountants, attorneys, or other professionals acceptable to City and all costs associated 3 Becker Engineering Agreement therewith, arising or claimed to arise, directly or indirectly, from Contractor's performance or failure to perform under this Agreement. This indemnity provision shall survive the termination of the Agreement and is in addition to any other rights or remedies which Indemnitees may have under the law. Payment is not required as a condition precedent to an Indemnitee's right to recover under this indemnity provision, and an entry of judgment against an Indemnitee shall be conclusive in favor of the Indemnitee's right to recover under this indemnity provision. Contractor shall pay Indemnitees for any attorney's fees and costs incurred in enforcing this indemnification provision. Notwithstanding the foregoing,nothing in this instrument shall be construed to encompass (a) Indemnitees' sole negligence or willful misconduct to the limited extent that the underlying Agreement is subject to Civil Code § 2782(a) or(b)the contracting public agency's active negligence to the limited extent that the underlying Agreement is subject to Civil Code § 2782(b). This indemnity is effective without reference to the existence or applicability of any insurance coverage which may have been required under the Agreement or any additional insured endorsements which may extend to Indemnitees. 8. Insurance. Contractor shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, with an insurance company admitted to do business in California and approved by the City(1) a policy or policies of broad-form comprehensive general liability insurance with minimum combined single limits of $2,000,000.00 combined single limit coverage against any injury, death, loss or damage as a result of wrongful or negligent acts by Contractor, its officers, employees, agents, and independent contractors in performance of services under this Agreement; (2) property damage insurance with a minimum combined single limit of$2,000,000.00; (3) automotive liability insurance, owned and non-owned with a minimum combined single limits coverage of$1,000,000.00; and (4)worker's compensation insurance as required by law. City, its officers, employees, attorneys, and volunteers shall be named as additional insureds on the policy(ies) as to comprehensive general liability, property damage, and automotive liability. The policy(ies) as to comprehensive general liability, property damage, automobile liability, shall provide that they are primary, and that any insurance maintained by the City shall be excess insurance only. A. All insurance policies shall provide that the insurance coverage shall not be suspended, canceled, reduced, or otherwise modified(except through the addition of additional insureds to the policy)by the insurance carrier without the insurance carrier giving City thirty(30) days prior written notice thereof. Contractor agrees that it will not cancel, reduce or otherwise modify the insurance coverage. B. Contractor agrees that if it does not keep the insurance in full force and effect, and such insurance is available at a reasonable cost, City may take out the necessary insurance and pay the premium thereon, and the repayment thereof shall be deemed an obligation of Contractor and the cost of such insurance may be deducted, at the option of City, from payments due Contractor. C. Contractor shall submit to City(1) insurance endorsements indicating compliance with the minimum worker's compensation insurance requirements above, and (2) insurance policy endorsements indicating compliance with all other minimum 4 Becker Engineering Agreement insurance requirements above, not less that one (1) day prior to the beginning of performance under this Agreement. D. Contractor, on behalf of itself and all parties claiming under or through it, hereby waives all rights of subrogation and contribution against the Indemnitees, while acting within the scope of their duties, from all claims, losses and liabilities arising out of or incident to activities or operations performed by or on behalf of the Contractor regardless of any prior, concurrent, or subsequent active or passive negligence by the Indemnitees. 9. Ownership of Materials. As set out on Exhibit"A," some materials included in unit price amounts shall be provided by Contractor. In other cases, City shall provide materials. Notwithstanding, all materials provided by Contractor in the performance of this Agreement shall be of the highest quality, appropriate and fit for the purpose intended, and shall meet all specifications and other requirements. All materials shall become and remain the property of City without restriction or limitation upon its use or dissemination by City. 10. Conflict of Interest. Contractor covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which may be affected by the services to be performed or materials to be provided by Contractor under this Agreement, or which would conflict in any manner with the performance of its services hereunder. 11. Termination. City may terminate this Agreement with or without cause upon thirty (30) days prior written notice to Contractor. In the event of such termination, City agrees to pay Contractor for services and materials satisfactorily completed and approved prior to the effective date of termination. Immediately upon receiving written notice of termination, Contractor shall discontinue performing services. Contractor may terminate this Agreement, or any program or service provided hereunder, provided notice is given at least ninety (90) days in advance of such termination. If this Agreement is terminated by the Contractor, the Contractor shall be compensated for services satisfactorily completed and approved prior to the effective date of termination. A. Breach of Agreement-If the Contractor defaults in the performance of any of the terms or conditions of this Agreement it shall have ten(10) days after service upon it of written notice of such default in which to cure the default by rendering a satisfactory performance. In the event that the Contractor fails to cure its default within such period of time, the City shall have the right, notwithstanding any other provision of this Agreement, to terminate this Agreement without further notice and without prejudice to any other remedy to which it may be entitled by law, in equity, or under this Agreement. The failure of the City to object to any default in the performance of the terms and conditions of this Agreement shall not constitute a waiver of either that term or condition or any other term or condition of this Agreement. 5 Becker Engineering Agreement 12. Provision of Personnel,Instruments and Office Space. Contractor represents that it has, or will secure at its own expense, all personnel required to perform the services under this Agreement. All of the services required under this Agreement will be performed by Contractor or under its supervision, and all personnel engaged in the work shall be qualified to perform such services. Contractor reserves the right to determine the assignment of its own employees to the performance of Contractor's services under this Agreement, but City reserves the right, for good cause,to require Contractor to exclude any employee from performing services on City's premises. A. Contractor shall provide a person designated as the Lead Worker/Foreman as the One-man Crew and two Workers as the Two-man Crew to assume the responsibility for the day-to-day work, performing miscellaneous street maintenance and repair activities and act under the direction of the City. B. Contractor shall provide office space, furniture,telephone, and supplies (including but not limited to all necessary materials such as tack, asphalt, concrete, delineators,barricades, brooms, shovels,tampers, etc. required to perform the services under this Agreement) at a location or work site within the corporate boundaries of the City of Menifee for the street maintenance related work or at a location approved by the City. C. Contractor shall make every reasonable effort to maintain the stability and continuity of the staff assigned to perform the services required by this Agreement. Contractor shall maintain a constant supply of the required materials and tools to perform the services under this Agreement. D. Contractor shall take all steps necessary to be available to provide street maintenance on a regular as well as an emergency, call-out basis and shall provide City with working, current emergency contact numbers. 13. Assignment. Contractor shall not assign or transfer any interest in this Agreement or the performance of any of Contractor's obligations hereunder without prior written consent of City, and any attempt by Contractor to so assign this Agreement or any rights, duties, or obligations arising hereunder shall be void and of no effect. 14. Compliance with Laws. Contractor shall keep informed of and comply with all applicable laws, ordinances, codes and regulations of the federal, state, and local governments. The City, its officers and employees, shall not be liable at law or in equity by reason of the failure of the Contractor to comply with this paragraph. A. To the extent that any or all of the services described in Exhibit "A" are or may be funded by other governmental entities, Contractor shall comply with all applicable rules and regulations to which the City is bound with the agencies providing the funding. 15. Non-Waiver of Terms, Rights and Remedies. Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. In no event shall the making 6 I 16. Attorney's Fees. In the event that either party to this Agreement shall commence any legal or equitable action or proceeding to enforce the provisions of this Agreement, the prevailing party in such action or proceeding shall be entitled to recover its costs of suit including but not limited to reasonable attorney's fees and costs, including costs of expert witnesses. 17. Governing Law. This Contract shall be interpreted,construed and enforced in accordance with the laws of the State of California. 18. Counterparts. This Agreement may be executed in any number of counterparts, each of which shall be deemed to be the original, and all of which together shall constitute one and the same instrument. 19. Entire Agreement. This Agreement, and any other documents incorporated herein by specific reference, constitute the entire and integrated agreement between Contractor and City. This Agreement supersedes all prior oral or written negotiations, representations or agreements. This Agreement may not be amended, nor any provision or breach hereof waived, except in a writing signed by the parties which expressly refers to this Agreement. The City Council explicitly has authorized the City Manager to sign this Agreement. 20. Exhibits. All exhibits referred to in this Agreement are incorporated herein by this reference. Becker Engineering has served the City of Temecula for approximately 18 years and helped them much in the same way we will propose in the following pages to help your city. Walt Becker,the General Manager and C.E.O. of Becker Engineering has extensive knowledge in the area of public works maintenance and is capable of creating a plan and implementing said plan to provide safe and well operating streets to the citizens of the City of Menifee. In their first year all cities undergo an adjustment period while transitioning from the county to their own public works department. A city's public works department is the key to giving its citizens a safe,well functioning city. In order to create a strong public works department you need to have a good foundation to build from, we recommend an initial inspection of all city streets, drainage systems, curb & gutters and sidewalks. This inspection will allow us to create a list of issues that need to be addressed and with your city representative organize the list into priorities and ultimately a work schedule and cost list. Only by first analyzing the current city conditions can a cost effective, time conscience plan be put into place. Becker Engineering is the company able to create such a list and implement an effective work schedule for tackling all of the tasks laid our before them. The City of Menifee requires that all records be accurate, itemized and coordinate with the records of the City. They also require that records are provided to the City and comply with all prevailing wage record keeping requirements. As we have worked for the City of Temecula for 18 years we are very well accustomed to keeping such records and are more than willing to do so for the City of Menifee. Reporting is to be completed in much the same fashion as records, a monthly itemized report of all services is to be provided and is to coordinate with the Cities records in format and content. Monthly billings are also to be provided in such a manner that a tracking/billing system for all work completed is capable of being retrieved by activity,project, location, date, duration in hours and personnel that completed the activities. Page 4 Methodology and Scope of Work The scope of work is not defined and as it stands currently. Becker Engineering would recommend a thorough inspection of the City of Menifee streets, drainage systems, sidewalks, curb and gutters and all City Right of Ways to create a comprehensive scope of work and methodology for implementation. The reasoning for this city wide inspection is to gather information on all issues that must be addressed and then from that list a priority list can be created. These steps will help to ensure that all work is completed in the most fiscally minded and time conciseness fashion possible. By weighing geographic regions,weather,traffic delays, future construction projects, etc the City and Becker Engineering can accomplish tasks in a more productive fashion and better serve the citizens of the City of Menifee. Becker Engineering would recommend a thorough inspection of the City of Menifee streets, drainage systems, sidewalks, curb and gutters and all City Right of Ways to create a comprehensive scope of work and methodology for implementation. Our ultimate goal through the inspection process will be to establish a program of priorities tied into the scope of work which will be completed in the most cost effective manner. Step 1 Full inspection of all City improvements, streets, curb& gutters, City right of ways, sidewalks, drainage systems, signage and striping. The inspection process will take several days if not weeks and will cover all of the above listed items. For example, a typical inspection will include Walt Becker of Becker Engineering and a City of Menifee representative. The two parties will meet and spend time inspecting all city improvements in a particular area. The two parties will inspect the streets, curb& gutter system, any drainage channels in the area, etc for damage. Damage may have been caused by faulty workmanship,utility trench failure, accidental vehicle damage, or any number of other issues. These damages will be added to a list which can later be prioritized. Step 2 Once all of the Cities improvements have been inspected the list that has been created can be prioritized. Walt Becker and the City representative can determine what damages are the responsibility of the City of Menifee to repair,which damages are the responsibility of utility companies to repair,which of the damages are due to home owner neglect or illegal grading that need to be repaired, etc. Page 17 Step 3 Now that the damages to city improvements that are not the responsibility of the City of Menifee have been removed from the list a comprehensive list of priorities can be created. Walt Becker can assist the city representative in prioritizing the list to ensure that the proposed priority list will schedule work in the most cost effective manner possible. Step 4 The final step of the transition period for the City of Menifee will be implementing the prioritized work schedule. In addition to the above steps of transitioning we would recommend the City consult a traffic engineering firm to establish that existing signage and striping is correct and to code. To further maintain the city improvements, following the implementation of the prioritized work schedule we would suggest regular weekly pre construction meetings with city representative to determine upcoming work schedule and post inspection of all related projects. We operate on the Nextel network and are willing to adjust to suit the City of Menifee's operating system. • Appendix A Notes: o The prices noted in Appendix A reflect energy costs as of 2-10-09, for example, diesel fuel cost is $2.50 per gallon. Should energy costs increase,and we think that is a strong possibility, we will institute a percentage increase commensurate with retail prices.
