SERVICES AGREEMENT
This first amendment to services agreement (the "Amendment') is
entered into this,2�day of uar2013 by and between the City of Menifee
("City"), a municipal corporati n, and ACCELA, Inc., a CAUFvK uA corporation
("Vendor") (collectively the "Parties') and amends that certain Services
Agreement (the "Agreement') effective July 29„ 2013 by and between the
Parties.
In return for good and valuable consideration receipt of which is hereby
acknowledged, the Parties agree as follows:
1. Amendment of Agreement. In accord with the provisions of Section 5.9 of the
Agreement, the Payment Schedule that appears on page 27 of the Statement
of Work attached to the Agreement as Exhibit A is hereby amended to read in
its entirety as set forth in Attachment 1 to this Amendment, which
Attachment 1 is incorporated herein by reference as thought set forth in full.
2. Remainder of Agreement. All other terms, conditions and provisions of the
Agreement remain in full force and effect.

the Parties set forth below:
